Geneviève Goulet is a partner and co-chair of our Business Law Group, as well as a Certified Corporate Director (ASC). Her practice focuses on advising private businesses on governance, sales and acquisitions, private financings, shareholder relations, licensing, and various types of commercial contracts. Her clients, active in all sectors of the economy, especially technologies, construction and real estate, appreciate her creativity, availability, dedication and ability to simplify complex topics. They trust her expertise and come to her when faced with important strategic business decisions.

Geneviève is a member of our Management Committee. She is also deeply committed to fostering the next generation of lawyers, and has been Chair of our Recruitment Committee for several years.


Representative files and mandates

Deals

Sale of KLF Media Inc. shares — Advised shareholders of a reward sourcing and fulfillment services provider in the gifting and incentives industry for the sale of all their shares to Incentive Concepts Inc.

Sale of Groupe Marchand to FYidoctors — Represented the shareholders of Groupe Marchand for the sale of their shares to FYI Eye Care Services and Products Inc. and the formation of a new association between these two companies. Groupe Marchand operates over 85 clinics in Quebec, while FYidoctors has become one of the country’s leading suppliers of ophthalmic products and services, with over 450 optometrists in more than 280 locations across Canada.

Merger in the human resources sector — Planned and implemented a merger between two human resource consulting and training companies.

Sale of Dicom Transportation Group — Represented Dicom, a major business-to-business transportation company, in the sale of its assets to a Chicago-based private equity fund. Dicom, which has approximately 1,000 employees and generates annual revenues of about $175 million, conducts business in Quebec and Ontario under the Dicom, Dicom Express and GoJiT banners. It operates 25 distribution centers and a fleet of more than 700 trucks, trailers and other vehicles.

Governance

Non-profit organization’s by-laws — Assisted and advised the board of a major non-profit organization with over 700 members for the revision of its general by-laws and related drafting. The new by-laws provide a framework for managing certain governance issues identified by the existing Board of Directors, and enable them to adapt to statutory changes.

Ongoing monitoring — Assisted and advised a non-profit organization and its directors and officers for the development and implementation of administrative policies and amendments to its by-laws. Because of the nature of the organization, directors and officers are in office for short-term mandates (generally of one year). Geneviève’s role consists of educating them on their obligations and liabilities under the law and the organization’s by-laws, advising them on their projects, and implementing the required policies.

Real Estate

Real estate projects — Advised various private partners in the implementation of a limited partnership for the completion of several real estate projects in collaboration with a major institutional investor.

Rental real estate project — Planned, negotiated and drafted various documents for a Montreal-based promoter towards the design, financing, structuring and implementation of turnkey rental real estate development projects involving major Canadian tenants such as Tim Hortons, Petro-Canada and Couche-Tard.

Nonprofit real estate projects — Assisted and advised a non-profit organization on the acquisition of buildings and the implementation of financing structures to provide the facilities needed for services offered to the organization’s members.

Contracts

Franchising agreement — Drafted a franchising agreement for a business specializing in sanitary and cleaning products.
