Herbert Z. Pinchuk is a partner in our Business Law Group, and a member of the Management Committee. He is also the firm’s representative to the International Lawyers Network (ILN), an association of 91 law firms worldwide.

Herb acts as outside corporate counsel and business advisor to a wide range of mid-market corporations, and frequently advises the senior management of public and private corporations on business and legal matters. He has extensive experience assisting clients in the areas of mergers and acquisitions, real estate and commercial leasing, business successions, franchising, and general commercial matters.

Herb is above all a dealmaker. He excels in strategic planning, negotiation, and finding creative and practical solutions to complex legal and business issues.


Representative files and mandates

  • Provides regular advice and general counsel to numerous national and international fast-food chains
  • Represents liquidators of multi-million-dollar estates
  • Continued representation of one of Canada’s leading home fashion manufacturers and importers
  • Continued representation of a Quebec and Ontario specialty cider producer in intellectual property and real estate matters
  • Represented a multi-unit residential apartment complex in various matters (insurance claims, municipal by-law issues, etc.) relating to a fire resulting in its total destruction
  • Represented a major car dealership and the building owners in the successful sale of the dealership and the dealership real estate
  • Represented the purchaser in the negotiation and structuring of the acquisition of a large private Quebec-based claims adjusting enterprise
  • Represented the seller in the sale of a professional (dental) practice, including related tax matters
  • Represented the buyer of the Canadian division (business and assets) of a large international information solutions enterprise which included, amongst other things, tax planning, the corporate structure, and related matters
  • Represented a major real estate developer in litigation regarding the migration of pollutants over its land, which was affecting neighbouring properties
  • Represented a large real estate consortium in the sale of a mixed-use complex
  • Successfully acted as co-counsel in a multi-million-dollar life insurance claim made by the various insureds under the terms of a disputed life insurance policy
  • Advised a US-based manufacturer and distributor of branded jewellery on various leasing matters and on the sale of a portion of its retail outlets to its US-based licensor
